Terms of Service — Imtisal

1. Acceptance of Terms

By accessing or using Imtisal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Imtisal on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Imtisal is a Saudi compliance platform providing tools to help businesses comply with three Saudi regulations:

ZATCA E-Invoicing: Invoice generation, signing, and submission to ZATCA's Fatoora system
PDPL Data Privacy: Privacy policy generation, consent management, and data subject request handling
NCA Cybersecurity: Self-assessment against NCA's Essential Cybersecurity Controls (ECC-2:2024)

Imtisal is a compliance tool, not a legal advisor. Our platform helps you organize and automate compliance activities, but it does not constitute legal advice. For legal advice specific to your circumstances, consult a qualified Saudi lawyer.

3. Account Registration

To use Imtisal, you must:

Be a business registered in the Kingdom of Saudi Arabia (valid Commercial Registration required)
Provide accurate and complete registration information
Be at least 18 years old and have legal capacity to enter contracts under Saudi law
Maintain the security of your account credentials

You are responsible for all activities that occur under your account. Notify us immediately at azim.faisal23@gmail.com if you suspect unauthorized access.

4. Subscription Plans and Billing

Imtisal offers three subscription plans:

Starter: SAR 99/month
Growth: SAR 299/month
Pro: SAR 799/month

All prices are exclusive of Saudi VAT (15%). Invoices issued by Imtisal will include VAT as required by ZATCA regulations. Billing is monthly or annually in Saudi Riyals (SAR). Annual plans are billed upfront with a 20% discount. Payment is due at the start of each billing period. We accept Mada, Visa, Mastercard, and bank transfer for annual plans.

5. Free Trial

All new accounts receive a 14-day free trial with full access to Growth plan features. No credit card is required to start a trial. At the end of the trial period, your account will not be charged automatically — you must actively select a plan and provide payment information to continue. If no plan is selected, your account will be paused and data retained for 30 days.

6. Cancellation Policy

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not issue refunds for the current billing period after cancellation. Your data will be retained for 90 days after cancellation, during which you may export it. After 90 days, your data will be deleted, except for invoice records which are retained for 6 years as required by ZATCA law.

7. Acceptable Use

You agree not to use Imtisal to:

Violate any applicable Saudi laws or regulations
Submit false or fraudulent invoices to ZATCA
Process data of individuals without a valid legal basis under PDPL
Attempt to scrape, reverse-engineer, or extract data from our platform
Share your account credentials with unauthorized parties
Use the platform in a way that could damage, overload, or impair our infrastructure

Violations of acceptable use may result in immediate account termination without refund.

8. Limitation of Liability

To the maximum extent permitted by Saudi law, Imtisal's total liability for any claim arising from your use of the Service shall not exceed the greater of (a) SAR 10,000 or (b) the total fees paid by you to Imtisal in the 12 months preceding the claim.

Imtisal is not liable for: indirect, incidental, or consequential damages; regulatory fines or penalties imposed by ZATCA, SDAIA, or NCA; losses arising from your failure to act on platform recommendations; or force majeure events.

9. Intellectual Property

All content, features, and functionality of the Imtisal platform — including software, design, text, graphics, and AI-generated documents created by our system — remain the intellectual property of Imtisal. Documents generated for your specific business (privacy policies, cybersecurity policies, compliance reports) are licensed to you for your business use.

Your business data (invoices, CR number, customer data) remains your property at all times.

10. Data and Privacy

Our collection and use of your personal data is governed by our Privacy Policy. By using Imtisal, you agree to the collection and processing of your data as described therein. All data is stored in Saudi Arabia (Google Cloud me-central2) in compliance with PDPL data residency requirements.

11. Service Availability

We target 99.5% monthly uptime, excluding scheduled maintenance (which we will announce at least 24 hours in advance). We are not responsible for ZATCA Fatoora system downtime or outages at regulatory body endpoints. In the event of extended platform unavailability, we will provide service credits at our discretion.

12. Termination

We reserve the right to suspend or terminate your account immediately if: you violate these Terms; you attempt to circumvent Saudi regulatory requirements; your account is used for fraudulent activities; or non-payment of fees after a 7-day grace period. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms or your use of Imtisal shall be submitted to the competent commercial courts in Riyadh, Saudi Arabia. Both parties waive any objection to jurisdiction or venue in Riyadh courts.

14. Amendments

We may update these Terms from time to time. For material changes, we will provide at least 30 days notice via email and a platform notification. Your continued use after the effective date constitutes acceptance. If you do not agree to amended Terms, you may cancel your subscription before the effective date.
